2. CONTRACT FORMATION & ORDERS
2.1. A legally binding contract is formed when we issue a formal written Order Confirmation (or invoice) following receipt of your deposit or payment in full.
2.2. Bespoke / Made-to-Measure Orders:

All timber products made to measure or bespoke to a client’s requirements are custom-manufactured to the specific dimensions and specifications requested.

Written Sign-Off Required: The buyer must check all confirmation documentation and itemized sales orders upon receipt via email or post and confirm details are correct. Manufacturing will not commence until we receive this confirmation in writing (email or post). Telephone confirmations will not be accepted.

Nominal Sizes & Tolerances: All sizes provided are nominal and subject to natural timber movement tolerances. It is your sole responsibility to ensure all measurements and specifications in the Order Confirmation are accurate before written sign-off.

Order Changes: Any changes or additions to an order after written confirmation may incur extra charges and cause delivery rescheduling. 2.3. Specification for Manual vs. Automated Use:

All gates manufactured and supplied by us are designed and constructed strictly for manual operation, unless explicitly specified, quoted, and confirmed in writing on your Order Confirmation as being engineered for automation (e.g., equipped with heavy-duty bottom rails or automation-ready joinery).

Installing automation equipment on a gate manufactured for manual use alters structural stress points and is done entirely at the buyer’s risk.
3. CANCELLATION, RETURNS & RESTOCKING FEES
A. Bespoke & Made-to-Measure Products (Custom Gates)
3.1. Under Regulation 28(1)(b) of the Consumer Contracts Regulations 2013, statutory 14-day cancellation rights do not apply to goods made to your specifications or clearly personalized.
3.2. Once written sign-off is received and production has commenced, bespoke orders cannot be cancelled, returned, or refunded, except where the goods suffer from a proven structural manufacturing defect (subject to Section 4 and Section 5 below).
B. Standard Off-the-Shelf Goods (Stock Hardware, Ironmongery)
3.3. Consumer (B2C) Cancellations: Consumer buyers may cancel orders for standard, non-custom stock items within 14 days of receipt for a full refund. Items must be returned unused, undamaged, and in original packaging at the buyer’s expense.
3.4. Trade / Business (B2B) Returns: Business returns of standard stock items are subject to prior written approval and will incur a 20% restocking/handling fee deducted from the refund. Delivery charges are non-refundable.
4. TIMBER CHARACTERISTICS, MOVEMENT & MANDATORY 14-DAY TREATMENT
4.1. Timber is a natural, living material. Variations in color, grain, texture, and small knots are natural features and do not constitute defects. All timbers (including softwoods and hardwoods) are susceptible to natural reactions including warping, twisting, shrinking, splitting, shaking, cupping, and bowing. Extreme hot, cold, wet, or dry weather will cause these characteristics to increase.
4.2. Structural Integrity vs. Natural Movement:

Timber movement and surface cracking/splitting (including in timber posts) do not affect the structural integrity of the product and do not constitute a manufacturing defect or breach of fitness for purpose under the Consumer Rights Act 2015. Monies will not be refunded or exchanged for natural timber movement. If you are unwilling to accept these natural risks, we recommend purchasing an aluminum or metal gate.

Gates experiencing weather-related movement will normally return to their original form when weather conditions stabilize.
4.3. Mandatory 14-Day Treatment Requirement:

If products are supplied untreated or partially treated, the buyer accepts full responsibility for treatment. Unless explicitly supplied as fully pressure-treated or factory-finished in writing, all timber products must be fully treated and sealed with a suitable, high-quality exterior wood preservative/oil within 14 days of delivery.

Treatment must cover all surfaces, including top and bottom end-grain, cut edges, and hardware cutouts prior to outdoor exposure.

Failure to apply sufficient suitable treatment within this 14-day window will void all warranties, guarantees, and claims regarding timber movement, splitting, or decay. Untreated products must not be stored outdoors.
5. WARRANTY, GUARANTEES, INSTALLATION & INSPECTION COSTS
5.1. 12-Month Workmanship & Installation Guarantee: We cover faulty joinery workmanship and our direct installation work for a period of 12 months from completion. Due to the nature of timber, this guarantee EXCLUDES natural timber movement, twisting, shrinkage, splits, and bowing.
5.2. 90-Day Post-Installation Adjustments: Gates may settle after fitting. We offer guidance via phone/email, or we can return to perform one complimentary adjustment within the first 90 days post-installation for eligible fitted gates. Any subsequent adjustments or call-outs after 90 days will be charged at our standard rates.
5.3. Voiding of Warranties: Warranties and guarantees are immediately null and void if:

Outstanding balances/payments are not paid in full.

Incorrect Ironmongery Installation: Hinges, latches, locks, drop bolts, or other ironmongery are fitted directly into/onto cladding, tongue-and-groove boarding, or infill boards. All ironmongery must be installed strictly into the main structural framing of the gate (i.e., vertical stiles and horizontal rails). Fixing hardware into non-structural boarding risks structural failure, board splitting, and sagging, for which Sharp Fencing Ltd accepts no liability.

Automating Manual Gates: Automation equipment, motors, or arms are fitted to gates that were ordered, designed, or specified strictly for manual operation.

Automation systems are fitted incorrectly (e.g., incorrect underground automation arm extensions or incorrect bracket placements), causing strain or twisting.

Timber care and 14-day treatment requirements (Section 4) are not met.

Products are poorly fitted by third parties, subjected to physical abuse, or affected by ground movement.
5.4. Inspection & Collection / Removal Costs:
Any product reported as having a manufacturing defect must be removed from active use immediately to enable inspection by Sharp Fencing Ltd.

Provisional Collection / Carriage Costs: Where a product must be returned or collected for inspection, the customer is initially responsible for the arrangement and cost of return carriage or our collection fee.

Reimbursement on Confirmed Fault: If our inspection confirms a genuine manufacturing defect or joinery failure covered under warranty, Sharp Fencing Ltd will fully reimburse the customer for reasonable return carriage/collection costs and repair or replace the product free of charge.

Non-Defective / Natural Movement Items: If the inspection shows the issue is caused by natural timber movement, lack of treatment within 14 days, incorrect automation, improper ironmongery mounting, or third-party installation errors, the customer remains responsible for all collection, inspection, and redelivery fees.
6. DELIVERY & SITE INSPECTION
6.1. Delivery times and transit estimates are provided in good faith. We are not liable for reasonable delivery delays outside our control. Deliveries are strictly kerbside only.
6.2. Inspection Requirement:

Goods must be inspected upon delivery. Visible transit damage, shortages, or discrepancies must be noted on the delivery receipt and reported to us in writing within 48 hours of delivery.

Goods must be checked prior to installation or application of treatments. We assume no liability for visible transit damage reported after installation has commenced.
7. ACCURACY OF BILLING, ACCOUNT & SITE INFORMATION
7.1. We reserve the right to refuse or limit any order placed with us (e.g., limiting quantities per household, account, or credit card). If an order is changed or canceled, we will attempt to notify you using the contact details provided.
7.2. You agree to provide current, complete, and accurate account, billing, and contact details for all purchases.
7.3. Product Display & Website Information: We make every effort to display product colors and images accurately, but monitor displays may vary. Prices and product descriptions are subject to change without notice at our sole discretion. We do not warrant that general website material is free from minor errors or omissions.
8. PROHIBITED USES & THIRD-PARTY LINKS
8.1. Prohibited Uses: You are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to violate any laws or regulations; (c) to infringe upon intellectual property; (d) to transmit destructive code or malware; (e) to scrape or collect personal data of others; or (f) to interfere with security features. Violation will result in immediate termination of service.
8.2. Third-Party Links & Tools: We may provide access to third-party tools or website links over which we have no control. Use of third-party features or links is at your own risk, and claims regarding third-party goods or services must be directed to the third party.
9. INDEMNIFICATION & LIMITATION OF LIABILITY
9.1. You agree to indemnify, defend, and hold harmless Sharp Fencing Ltd, its directors, officers, employees, and suppliers from any claim, demand, or damages (including legal fees) arising from your breach of these Terms or violation of any law or third-party rights.
9.2. To the maximum extent permitted by UK law:

Sharp Fencing Ltd shall not be liable for direct, indirect, incidental, punitive, or consequential damages (including lost profits, lost savings, third-party installer costs, or painter expenses) arising from product delays, defects, or use of our services.

Our total liability for any claim shall not exceed the actual price paid by you for the specific product or service supplied.
10. SEVERABILITY, ENTIRE AGREEMENT & GOVERNING LAW
10.1. Severability: If any provision of these Terms is determined to be unlawful or unenforceable, that portion shall be severed without affecting the validity and enforceability of the remaining provisions.
10.2. Entire Agreement: These Terms constitute the entire agreement between you and Sharp Fencing Ltd, superseding any prior communications or representations.
10.3. Governing Law: These Terms and all contracts formed hereunder shall be governed by and construed in accordance with the laws of England and Wales, and subject to the exclusive jurisdiction of the English courts.
